1. Service Description

ClosedBooks.ai is an AI-powered accounting and bookkeeping service. Our AI agents connect to your financial platforms (such as Shopify, Amazon, Stripe, PayPal, Etsy, eBay, bank accounts, QuickBooks, and Xero) to automatically categorize, reconcile, and organize your financial transactions.

2. Account Responsibilities

When you create an account, you agree to:

Provide accurate and complete information during registration.
Keep your login credentials secure and confidential.
Notify us immediately if you suspect unauthorized access to your account.
Be responsible for all activity that occurs under your account.

3. Acceptable Use

You agree not to:

Use the service for any unlawful purpose, including money laundering or fraud.
Attempt to reverse-engineer, decompile, or extract source code from the service.
Interfere with or disrupt the service or its infrastructure.
Submit false, misleading, or fabricated financial data.
Resell, sublicense, or redistribute the service without our written consent.
Use the service on behalf of a third party without disclosing this to us.

4. AI Disclaimer

This is important. Please read carefully.

ClosedBooks.ai uses artificial intelligence to process and categorize financial data. While we strive for accuracy, AI-generated outputs -- including categorized transactions, financial reports, and reconciliations -- may contain errors.

Our service is not a substitute for professional tax, legal, or financial advice.
AI-generated reports should be reviewed by a qualified professional before being used for tax filings, regulatory compliance, or legal matters.
We do not guarantee that AI outputs are error-free, complete, or suitable for any specific purpose.

5. Data Accuracy

You are responsible for verifying the accuracy of all AI-generated outputs. While our AI agents are designed to be highly accurate, the quality of outputs depends on the quality and completeness of the data you provide. We recommend regular review of categorized transactions and reconciliation reports.

6. Limitation of Liability

To the maximum extent permitted by law:

ClosedBooks.ai is provided "as is" and "as available" without warranties of any kind, express or implied.
We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
We are not liable for any financial losses, tax penalties, or regulatory fines resulting from reliance on AI-generated outputs.
Our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

7. Intellectual Property

All content, software, AI models, branding, and technology comprising ClosedBooks.ai are the intellectual property of Be Development LLC. You retain ownership of your financial data. By using the service, you grant us a limited license to process your data solely for the purpose of providing the service.

8. Termination

Either party may terminate the service relationship at any time:

By you: You may close your account at any time by contacting us. Upon closure, we will delete your data within 30 days, subject to legal retention requirements.
By us: We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We will provide reasonable notice when possible.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions.

10. Dispute Resolution

Any disputes arising from these Terms or your use of the service will be resolved as follows:

Informal Resolution: We encourage you to contact us first at hello@onejumper.co to resolve any issues informally.
Binding Arbitration: If informal resolution fails, disputes will be settled by binding arbitration in the State of California under the rules of the American Arbitration Association (AAA).
Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class action lawsuits or class-wide arbitration.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. Continued use of the service after changes are posted constitutes acceptance of the revised Terms. If you disagree with any changes, you should discontinue use of the service.

12. Indemnification

You agree to indemnify and hold harmless Be Development LLC, its officers, employees, and affiliates from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
